This document describes how MarineInspect works today. It has not yet been reviewed by legal counsel. Highlighted items in [brackets] are placeholders pending business or legal confirmation and will be completed before this document takes effect.

1.Agreement
These Terms of Service (“Terms”) are an agreement between [Company legal name], [Registered business address] (“MarineInspect”, “we”, “us”) and the dealership or business that creates a MarineInspect account (the “Dealer”). They govern use of the MarineInspect website, Dealer Admin portal, and mobile app (the “Service”).
The person who creates the dealer account confirms that they are authorized to accept these Terms on the Dealer's behalf. Users invited by a Dealer must also follow these Terms when using the Service.

2.MarineInspect Service
MarineInspect is inspection software for boat dealerships and marine service departments. It includes:
- A mobile app for running structured boat inspections with checklists, notes, photos, and videos.
- Customer, boat, and inspection records, and inspection templates.
- PDF inspection reports generated in the app, with links that let customers watch inspection videos.
- AI document capture and AI boat health insights on plans that include AI.
- A web portal where Dealer Admins manage the team, subscription, storage, and AI usage.
Features available to a Dealer depend on its plan. We may improve and change the Service over time.
3.Dealer accounts
A Dealer account is created on the MarineInspect website by its first Dealer Admin. The Dealer must provide accurate information and keep it up to date. Each Dealer's data is kept separate from other dealers' data. The Dealer is responsible for all activity under its account.
4.Dealer Admin responsibilities
Dealer Admins act for the Dealer. They are responsible for:
- Inviting only people who work for or on behalf of the Dealer, and assigning appropriate roles.
- Deactivating users promptly when they leave or no longer need access.
- Managing registered devices, plan, seats, storage, and AI usage.
- Making sure the Dealer has the right to record customer information, photos, and videos in the Service, and to share reports and video links with customers.
- Keeping their own sign-in details secure.
6.User deactivation
A Dealer Admin can deactivate a user at any time. A deactivated user can no longer use the Service, and their seat becomes available. Records the user created stay with the Dealer so its inspection history remains complete. Users cannot delete their own accounts in the Service; requests about an account should go to the Dealer Admin or to us.
7.Customer and boat information
The Dealer decides which customer and boat information to record and is responsible for its accuracy and for having a lawful basis to collect and use it, including any notices or consents its customers require. Our Privacy Policy describes how MarineInspect handles this information.
8.Inspection content
Inspection results, statuses, notes, and reports reflect the observations of the Dealer's staff. MarineInspect provides the tools to record and present them but does not inspect boats, verify findings, or certify the condition, safety, or value of any boat. The Dealer is responsible for the content of its inspections and reports and for how it relies on them.
9.Photos and videos
Photos and videos added to inspections are stored privately for the Dealer and count toward the plan's storage limit. Individual files and video lengths are subject to limits shown in the app. When the storage limit is reached, new uploads may be blocked until space is freed or the plan is changed.
Video links shared with customers can be opened by anyone who has the link. The Dealer should share them only with the intended customer. A link stops working when the video or inspection is deleted or the link is revoked.
10.AI features
On plans that include AI, users can choose to use AI document capture and AI boat health insights. These features send the relevant information to our AI provider, OpenAI, as described in the Privacy Policy.
AI output can be incomplete or wrong. Extracted details are shown for review and saved only when a user confirms them, and insights must be checked by qualified staff before being relied on. AI use is counted against the plan's monthly allowance and may be limited once the allowance is used.
11.Subscription and billing
- Subscriptions are purchased on the MarineInspect website and billed monthly through Stripe. Each plan has a base price that includes a set number of users, a minimum number of users, and a price per additional user, as shown on the pricing page at the time of purchase.
- Dealer Admins can change the plan or seat count in the portal. Changes during a billing period may be prorated.
- Subscriptions renew automatically each month until cancelled. A cancelled subscription stays active until the end of the current billing period.
- The mobile app does not sell subscriptions or accept payments.
- We may change prices with advance notice to the Dealer Admin; changes apply from the next billing period.

12.Acceptable use
You must not:
- Use the Service for anything unlawful, or to record information you have no right to record.
- Upload content that is harmful, infringing, or unrelated to the Dealer's business.
- Attempt to access another dealership's data, bypass device, role, or security controls, or probe the Service for vulnerabilities without our permission.
- Share accounts, resell the Service, or let people outside the Dealer use it.
- Interfere with or overload the Service, or copy or reverse engineer it except where the law allows.
We may suspend access that breaks these rules or puts the Service or other users at risk.
13.Intellectual property
MarineInspect and its licensors own the Service, including the software, design, inspection templates we provide, and the MarineInspect name and logo. We grant the Dealer and its authorized users a limited, non-exclusive, non-transferable right to use the Service during the subscription, under these Terms. Feedback you give us may be used to improve the Service without obligation to you.
14.Customer content
The Dealer keeps ownership of the information, notes, photos, videos, logos, and templates it adds to the Service (“Customer Content”). The Dealer grants MarineInspect permission to host, process, and display Customer Content only as needed to provide, secure, and support the Service, including sending it to the service providers listed in the Privacy Policy. The Dealer confirms it has the rights needed to grant this permission.
15.Third-party services
The Service relies on third-party providers, including Supabase for hosting and authentication, Stripe for payments, and OpenAI for AI features. Payments made through Stripe are also subject to Stripe's terms. We are not responsible for third-party services outside our control, but we choose providers with care.
16.Service availability
We work to keep the Service available and reliable, but it may be interrupted for maintenance, updates, or reasons outside our control. The mobile app needs an internet connection for most features. We do not offer a service level agreement unless one is agreed in writing. [To be confirmed: confirm whether any uptime or support commitment is offered]
17.Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. MarineInspect does not warrant that inspections, reports, or AI output are accurate or complete, or that the Service will be error-free. 18.Limitation of liability
To the extent permitted by law, MarineInspect will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from use of the Service. Our total liability for any claim relating to the Service is limited to [Liability cap].
19.Indemnification
The Dealer will defend and indemnify MarineInspect against third-party claims arising from Customer Content, the Dealer's inspections and reports, the Dealer's use of the Service in breach of these Terms, or the Dealer's violation of law or of the rights of its customers. 20.Termination
The Dealer can cancel its subscription at any time in the portal; access continues until the end of the paid period. We may suspend or end access if the Dealer materially breaches these Terms, fails to pay, or uses the Service in a way that creates risk for others, with notice where reasonable. 21.Data after termination
After a subscription ends, we will handle Customer Content as described in the Privacy Policy. Customer Content is kept for [Retention period after a subscription ends] and then deleted. [To be confirmed: export options before deletion]
22.Changes to these Terms
We may update these Terms. We will post the new version on this page with an updated date and, for significant changes, give Dealer Admins reasonable notice before they take effect. Continuing to use the Service after the changes take effect means accepting them.
23.Governing law
